1. Acceptance of Terms

By accepting the offer ("Offer") provided by 9am GmbH, Schönhauser Allee 8 ℅ AchtBerlin, 10119 Berlin ("Licensor"), for e-learning videos and associated materials ("Deliverables"), the offer accepting party ("Licensee") agrees to be bound by the following licence terms, in addition to the General Terms and Conditions available at https://www.9am.works/terms-and-conditions and any specific terms included in the Offer. These licence terms, together with the General Terms and Conditions and the Offer, constitute the entire agreement regarding the Licensee's use of the Deliverables.

2. Licence Scope

The Licensee is granted a non-exclusive, non-transferable, and non-sublicensable licence to use the Deliverables solely for internal educational purposes within the Licensee's company and its affiliated companies (§ 15 AktG). This licence is subject to the terms set forth herein, in the General Terms and Conditions, and in the Offer.

3. Licence Fee

The Licence Fee and payment schedule are as specified in the Offer. The Licensee's acceptance of the Offer includes a commitment to adhere to the specified payment terms.

4. Term and Termination

This licence is effective upon the Licensee's acceptance of the Offer and will continue in effect until terminated as per the termination provisions specified in the Offer or by default under the General Terms and Conditions.

5. Intellectual Property Rights

All intellectual property rights in the Deliverables remain the property of the Licensor. The Licence granted to the Licensee does not confer any ownership rights in the Deliverables or any intellectual property rights therein beyond the scope of use specified in the Offer.

6. Use of Deliverables

The Licensee commits to using the Deliverables in accordance with applicable laws and regulations, the terms specified in the Offer, and these licence terms. Any unauthorized use, reproduction, or distribution of the Deliverables is strictly prohibited.

7. Confidentiality

Information related to the Deliverables, the Offer, and any proprietary information exchanged between the Licensor and the Licensee must be treated as confidential, in line with the confidentiality obligations specified in the General Terms and Conditions.

8. Advertisement Rights

The Licensee grants the Licensor permission to use the Licensee's name and logo to promote the collaboration in the Licensor's marketing materials and on its website. The Licensor will respect the Licensee's brand guidelines and ensure the Licensee's reputation is upheld in all promotional activities.

9. Governing Law and Jurisdiction

These licence terms, and any dispute arising from the use of the Deliverables, will be governed by the laws of the Federal Republic of Germany. The courts of Berlin shall have exclusive jurisdiction to resolve any disputes.

10. Entire Agreement

The Offer, these licence terms, and the General Terms and Conditions represent the entire agreement concerning the Deliverables between the Licensor and the Licensee. No other agreements, representations, or warranties other than those provided in these documents will be binding unless expressly agreed to in writing by both parties.

11. Acceptance

The Licensee's acceptance of the Offer constitutes acceptance of these licence terms and the General Terms and Conditions as integral parts of the licensing agreement.
